Terms and Conditions - Nature's Lab Affiliate Program

2.1 The Program allows registered participants ("Affiliates") to earn cash rewards (“Commissions”) by referring customers to Nature's Lab products. The term Affiliate does not imply any formal association with Nature’s Lab. By these Terms, the Affiliate is granted a non-exclusive, revocable right to market and advertise Nature’s Labs product consistent with the Terms.

2.2 Participation in the Program is voluntary and open to businesses and individuals aged 18 years or older, subject to the terms and conditions outlined herein.

2.3 These Terms do not create an exclusive agreement between you and Nature’s Lab. Both you and Nature’s Lab will have the right to recommend similar products of third parties and to work with other parties in connection with the sale, implementation, and use of similar products of third parties.

3.1 To become an Affiliate, you must be a resident of the United States and register through the Nature's Lab website or any other platform approved by Nature’s Lab.

3.2 During registration, you will be required to provide accurate and complete information. Nature's Lab reserves the right to refuse or terminate your participation if any information provided is found to be false or misleading.

3.3 Upon registration, you will receive a unique referral link or code (“Affiliate Link”) that you can use to track referrals and earn Commissions.

3.4 Offer is void where prohibited or restricted by law.

4.1 Affiliates will earn a Commission of twenty percent (20%) on Eligible Purchases made by customers referred through their Affiliate Link or Affiliate Code, provided that such purchases were generated through legitimate marketing efforts in compliance with these Terms. "Eligible Purchases" are purchases made by new or existing customers from Nature's Lab's website, provided that they have not used the Affiliate Link or Affiliate Code before. Purchases generated through prohibited paid media activities, fraudulent traffic practices, or any violation of Section 5.2 or Section 6.4 are NOT Eligible Purchases and will not earn commissions. The amount of the Eligible Purchase is the amount actually paid (i.e., amount after discount) for the order excluding shipping costs and any other fees. Eligible Purchases do not include any orders that are returned or cancelled for any reason**, or purchases determined by Nature's Lab to have been generated through fraudulent or prohibited means**.

4.2 Commissions will be paid in United States dollars (USD) and disbursed through the Tremendous™ software program.

4.3 Commission payments will be made within 1-60 business days once Eligible Purchases are approved by internal staff and processed through Tremendous™.

5.1 You represent and warrant that: (i) you have all sufficient rights and permissions to participate in the Program; and (ii) your participation in this Program will not conflict with any of your existing agreements or arrangements.

You further represent and warrant that: (i) you will ensure that you are compliant with any trade or regulatory requirements that may apply to your participation in the Program (for example, by clearly stating you are a Nature’s Lab Affiliate on any website(s) you own where you make an Affiliate Link available);  (ii) you will not purchase ads that direct to your site(s) or through any of link that could be considered as competing with Nature Lab’s own advertising, including, but not limited to, our branded keywords; (iii) you will not participate in cookie stuffing or pop-ups, false or misleading links are strictly prohibited; (iv) you will not attempt to mask the referring URL information; (v) you will not use your own Affiliate Link to purchase Nature’s Lab products for yourself; and (vi)  you will not use any mechanisms to deliver leads other than through an intended consumer. This includes sourcing leads through compilations of personal data such as phonebooks, using fake redirects or other tools or automation devices to generate leads (including but not limited to robots, lframes, or hidden frames), or offering incentives to encourage purchases or signups.

5.2 Prohibited Paid Media and Traffic Manipulation

You represent and warrant that you will NOT:

(i) Purchase, bid on, or use Nature's Lab branded keywords, trademarked terms, product names, or any misspellings or variations thereof in any paid search campaigns (Google Ads, Bing Ads, or any other paid search platform);

(ii) Create paid advertisements that redirect to Nature's Lab website through your Affiliate Link for the purpose of intercepting organic traffic or customers who were already intending to purchase from Nature's Lab;

(iii) Use retargeting, remarketing, or cookie-based advertising to target users who have previously visited Nature's Lab website;

(iv) Purchase display advertising, social media ads, or any other form of paid traffic with the intent to redirect customers already in Nature's Lab's sales funnel through your Affiliate Link;

(v) Engage in "brand bidding" where you bid on Nature's Lab brand terms to appear above Nature's Lab's own advertisements in search results;

(vi) Use URL redirects, cloaking, or any technical methods to mask that traffic is coming from paid advertising sources;

(vii) Create "review" or "coupon" websites that purchase paid traffic using Nature's Lab branded terms and then redirect to Nature's Lab through your Affiliate Link;

(viii) Engage in any form of paid traffic arbitrage where you are simply re-routing paid advertising traffic through your Affiliate Link without providing genuine value, content, or marketing services.

CLARIFICATION: You MAY use paid advertising to promote Nature's Lab products on NON-BRANDED terms (e.g., "best multivitamin for energy," "men's prostate supplements") provided you are creating genuine marketing content and NOT simply intercepting customers already searching for Nature's Lab specifically.

6.1 Affiliates must comply with all applicable local, state, national, and international laws and regulations while participating in the Program.

6.2 Affiliates are responsible for ensuring that their marketing and promotional activities are conducted in an ethical manner and do not infringe upon the rights of others.

6.3 Affiliates shall not engage in any deceptive, misleading, or unlawful practices when promoting Nature's Lab or its products.

6.4 Prohibited Marketing Practices and Fraud Prevention

Affiliate may use their Affiliate Link for the sole purpose of promoting Nature's Lab and referring prospective customers to Nature's Lab's website/products through legitimate marketing efforts. Affiliate shall not:

(i) Send unauthorized (unsolicited commercial) emails or use any illegal method of advertising to promote Nature's Lab products that include the referral code, and the Affiliate shall be solely liable for any unauthorized communications (all marketing practices must comply with all applicable laws and regulations);

(ii) Display the referral code in any way that in Nature's Lab's discretion disparages or creates a derogatory or negative image of Nature's Lab;

(iii) Make any false or misleading representations relating to Nature's Lab, or engage in any other practices that could harm the reputation of Nature's Lab;

(iv) Display the referral code or any content in a manner that contains or promotes (a) illegal activities or (b) content that is misleading, deceptive, or violates any third-party intellectual property, privacy or other rights of any kind;

(v) Use any misleading or deceptive claims in the referrals;

(vi) Place the referral code on any coupon sites;

(vii) Create groups or specific web pages in social communities to publicize Nature's Lab offers;

(viii) Refer themself to earn commissions on their own purchases;

(ix) Engage in fraudulent traffic practices including but not limited to:

• Paid search brand bidding (bidding on Nature's Lab branded terms)
• Traffic interception (using paid ads to redirect customers already searching for Nature's Lab)
• Click fraud or automated traffic generation
• Cookie stuffing or forced cookie placement
• Falsifying referral sources or traffic origins
• Creating fake accounts or purchases to generate commissions

(x) Use paid advertising methods that compete directly with Nature's Lab's own marketing efforts, including but not limited to:

• Bidding on Nature's Lab branded keywords in any paid search platform
• Creating paid ads that appear above Nature's Lab's own advertisements
• Retargeting or remarketing to Nature's Lab's existing website visitors
• Any form of paid traffic arbitrage designed solely to intercept existing demand rather than generate new customer interest

Nature's Lab reserves the right to monitor Affiliate traffic sources, advertising methods, and referral patterns. Suspicious activity may trigger immediate investigation and account suspension.

7.1 Nature's Lab shall not be held liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the Program.

7.2 Nature's Lab makes no warranties or representations regarding the Program, its availability, or the accuracy and completeness of the information provided.

7.3 Participation in the Program is at the Affiliate's own risk, and Nature's Lab disclaims all responsibility and liability for any losses or damages incurred.

9.1 Affiliate agrees that the Terms shall be construed, administered, and governed in all respects under and by the laws of the State of Nevada without regard to conflicts of laws principles thereof. Any action brought relating to the Terms or Affiliate’s participation in the Program shall be brought in a court of competent jurisdiction in the Eighth Judicial District in Clark County, Nevada.

9.2 If permitted by applicable law, each party waives the right to litigate in court or an arbitration proceeding any dispute as a class action, either as a member of a class or as a representative, or to act as a private attorney general.

9.3 Any dispute arising out of or relating to the Program, or these Terms shall be resolved through negotiation and, if necessary, through mediation or another alternative dispute resolution method agreed upon by both parties.

9.4 If the dispute cannot be resolved through negotiation or alternative dispute resolution, it shall be brought before the courts of the State of Nevada for resolution.

11.1 You and Nature’s Lab agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Terms or your participation in the Program.

11.2 Affiliates are solely responsible for any tax obligations arising from their participation in the Program.

11.3 Nature's Lab does not withhold any taxes from the commissions paid to Affiliates. It is the Affiliate's responsibility to determine and fulfill their tax obligations, including reporting and remitting any applicable taxes to the appropriate tax authorities.

11.4 Nature's Lab recommends that Affiliates consult with a tax professional to understand their tax obligations and ensure compliance with all relevant tax laws and regulations.

12.1 Nature's Lab reserves the right to modify, amend, or update these Terms at any time, without prior notice or communication to Affiliates. Nature’s Lab encourages you to periodically review this page for the latest information on the Program and the Terms.

12.2 It is the responsibility of Affiliates to regularly review the Terms herein and incorporated by reference to stay informed of any changes.

12.3 Continued participation in the Program after any modifications to the Terms constitutes acceptance of any modifications and the updated Terms.

(i) Nature's Lab may revise these Terms from time to time to reflect changes in the Program, legal requirements, or other factors. Affiliates are encouraged to check the Terms periodically to remain aware of any updates.

(ii) Please note that it is important for Nature's Lab to exercise reasonable discretion and provide notice of significant changes whenever feasible, as dictated by applicable laws and industry best practices.

13.1 Nature's Lab shall not be held liable for any direct, indirect, incidental, consequential, or exemplary damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with the Program.

13.2 Affiliates participate in the Program at their own risk. Nature's Lab does not make any warranties or representations, expressed or implied, regarding the Program's availability, performance, or outcomes.

13.3 Nature's Lab disclaims all responsibility and liability for any errors, inaccuracies, inconsistencies, interruptions, delays, or omissions that may occur in the Program, its website, or any associated materials.

13.4 Affiliates are responsible for their own actions, promotions, and compliance with applicable laws and regulations while participating in the Program. Nature's Lab shall not be liable for any claims, damages, or legal disputes arising from Affiliate activities.

13.5 It is important for Affiliates to understand and acknowledge the inherent risks and limitations of participating in the Program and to take appropriate measures to protect their own interests.

15.1 All content, trademarks, logos, and intellectual property associated with Nature's Lab, including but not limited to its website, promotional materials, and products, are the sole property of Nature's Lab and its licensors.

15.2 Affiliates shall not use, reproduce, modify, distribute, or display Nature's Lab's copyrighted materials, trademarks, or intellectual property without obtaining prior written permission from Nature's Lab.

15.3 Affiliates shall not create any derivative works or engage in any activity that may infringe upon or dilute the rights of Nature's Lab or its licensors.

15.4 Affiliates specifically acknowledge that they shall not use any trademarks, trade names, logos, or service marks contained on the Nature's Lab website or promotional materials without the express written permission of Nature's Lab.

15.5 It is crucial for Affiliates to obtain proper permission from Nature's Lab before using any trademarks or other intellectual property associated with Nature's Lab to ensure compliance with applicable laws and protect the rights of Nature's Lab.

15.6 By participating in the Program, you acknowledge that you have read, understood, and agreed to these Terms.

(i) Violation of the Terms;

(ii) Fraudulent or unlawful activities; and/or

(iii) Misrepresentation, unethical behavior, or any other conduct deemed inappropriate by Nature's Lab. 

16.2 In the event of termination, the Affiliate will no longer be eligible to earn commissions or receive Program benefits.

16.3 If an Affiliate's participation in the program is terminated, Nature’s Lab will conduct a final accounting of any Eligible Purchases made using the Affiliate’s referral code and pay any Commissions due and owing in accordance with Section 4 of these Terms.

16.4 Nature's Lab's decision to terminate an Affiliate's participation in the Program shall be final and binding.

16.5 Fraud Investigation, Commission Reversal, and Legal Recourse

(i) Investigation Rights: Nature's Lab reserves the right to investigate any Affiliate account for suspected fraudulent activity, including but not limited to paid media abuse, traffic manipulation, brand bidding, or commission fraud. During investigation, Nature's Lab may suspend commission payments and/or terminate Affiliate access to the Program.

(ii) Commission Reversal and Clawback: If Nature's Lab determines, in its sole discretion, that an Affiliate has engaged in fraudulent activities, prohibited paid media practices, or violated these Terms to earn commissions:

• All commissions earned through fraudulent means will be reversed and forfeited, regardless of whether they have been paid or are pending payment;
• Nature's Lab may demand immediate repayment of any commissions already disbursed that were earned through fraudulent or prohibited activities;
• Affiliate agrees to remit such amounts within thirty (30) days of Nature's Lab's written demand for repayment;
• Failure to repay reversed commissions may result in Nature's Lab pursuing collection through legal means, and Affiliate agrees to reimburse Nature's Lab for all reasonable costs of collection, including attorney fees.

(iii) Evidence of Fraud: Evidence of fraudulent activity may include but is not limited to:

• Traffic analytics showing high volumes of paid search traffic using Nature's Lab branded keywords
• Conversion patterns inconsistent with organic referral behavior
• Geographic or temporal clustering suggesting automated or manipulated traffic
• Third-party reports or complaints regarding Affiliate advertising practices
• Technical analysis revealing URL cloaking, redirect chains, or cookie manipulation
• Purchases that are immediately returned or cancelled after commission is earned
• Any other data indicating violation of Section 5.2 or Section 6.4

(iv) Right to Offset: Nature's Lab may offset any amounts owed to Affiliate (including future commission payments) against any amounts Affiliate owes to Nature's Lab as a result of commission reversals or fraud-related claims.

(v) No Liability for Investigation: Affiliate acknowledges and agrees that Nature's Lab shall have no liability to Affiliate for any damages, lost commissions, or other losses resulting from fraud investigations, account suspensions, commission reversals, or Program termination when such actions are taken in good faith based on suspected or confirmed violations of these Terms.

(vi) Legal Action: Nature's Lab reserves the right to pursue legal action against Affiliates who engage in fraudulent activities, including but not limited to claims for:

• Breach of contract
• Fraud and misrepresentation
• Unjust enrichment
• Violation of trademark rights (for unauthorized use of branded terms in paid advertising)
• Any other applicable legal claims under Nevada law or federal law

(vii) Cooperation: Affiliate agrees to cooperate fully with any fraud investigation, including providing traffic source data, advertising campaign details, and any other information reasonably requested by Nature's Lab within five (5) business days of request.
